# Ambassador Program Terms

**Effective Date: 28.04.2026**

### 1. About these Terms

#### 1.1 What this is

These Ambassador Program Terms (**"Terms"**) constitute a legally binding agreement between you (**"you"**, **"Participant"**) and the operator of the ZeroTick platform (**"ZeroTick"**, **"we"**, **"us"**, **"our"**) and govern your voluntary participation in the ZeroTick Ambassador Program (the **"Program"**).

By submitting an application, you confirm you have read, understood, and agree to these Terms.

#### 1.2 Relationship to other ZeroTick documents

These Terms supplement, but do not replace, the general ZeroTick Terms & Conditions and Privacy Policy. Where there is a conflict with respect to the Program, **these Terms govern**. Data handling specific to the Program is governed by the **Ambassador Program Privacy Notice**, published alongside these Terms.

#### 1.3 Defined terms

* **"Program"** : the ZeroTick Ambassador Program described in these Terms.
* **"Participant"** : an individual whose application has been accepted by ZeroTick and who has not been removed or withdrawn.
* **"ZTCK"** : the ZeroTick utility token.
* **"Recognition"** : ZTCK, three-level referral incentives, and any other benefits ZeroTick distributes to a Participant under the Program.
* **"Briefing"** : the Ambassador Program Briefing made available to applicants.
* **"Handbook"** : the Ambassador Program Handbook made available to Participants on acceptance.
* **"Weekly Minimums"** : the minimum content and activity deliverables per tier as published in the Handbook.
* **"Strike"** : a formal notice issued by ZeroTick to a Participant for failing to meet Weekly Minimums in a given week.

#### 1.4 The operator

The Program is operated by the ZeroTick team. Communications, notices, and dispute correspondence should be sent to the contact addresses in Section 21. If the operating entity changes, we will update these Terms under the Amendment procedure in Section 17, and your accrued Recognition will continue on the terms under which it was earned.

### 2. Nature of your participation

#### 2.1 Voluntary

Participation in the Program is **entirely voluntary**. You may withdraw at any time. ZeroTick is under no obligation to retain any Participant.

#### 2.2 No employment, partnership, agency, contracting, or joint venture

**No relationship of employment, partnership, agency, independent contracting, joint venture, or fiduciary duty exists or is created** between you and ZeroTick by reason of your participation. You are a voluntary participant in a community-recognition program. You are not a worker, employee, contractor, agent, or representative of ZeroTick. ZeroTick has no obligation to provide work, opportunities, compensation, benefits, social-security contributions, employment protections, paid leave, or anything else that would attach to an employment or contracting relationship.

#### 2.3 You speak as yourself

You participate in your personal capacity. You may not represent yourself as a spokesperson, employee, agent, or representative of ZeroTick. You may not bind ZeroTick to any obligation, agreement, or commitment.

#### 2.4 No exclusivity

You may participate in other programs and pursue other activities, provided you comply with the Confidentiality, Conduct, and IP provisions of these Terms.

#### 2.5 No guaranteed Recognition

All Recognition under the Program is **conditional** and **subject to forfeiture**. Nothing in these Terms creates an enforceable claim by you to any specific value of Recognition beyond the fixed base rate for your tier (Section 7.2).

### 3. Eligibility

#### 3.1 Personal eligibility

To participate, you must:

(a) be a natural person (not a corporation or other entity); (b) be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater; (c) have legal capacity to agree to and perform these Terms; (d) not be a resident or citizen of any jurisdiction subject to comprehensive sanctions administered by the United Nations, OFAC, the European Union, or the United Kingdom; (e) not appear on any list of sanctioned, restricted, or prohibited persons maintained by any competent authority; (f) not be a resident of any **Restricted Jurisdiction** (Section 11) at the time of any ZTCK distribution; (g) own and control the social-media accounts and audiences you reference in your application; (h) comply with all laws applicable to your participation, including those relating to securities, money transmission, sanctions, taxation, advertising disclosures, and consumer protection.

#### 3.2 Audience criteria

You must meet the audience criteria for at least one tier described in the Briefing and on zerotick.trade/ambassadors. ZeroTick may verify these criteria at any time and may rescind acceptance, change tier, or remove a Participant if criteria are not met or are no longer met.

#### 3.3 Continuing condition

Eligibility under this Section 3 is a continuing condition of participation. If you cease to meet any criterion, you must promptly notify ZeroTick. ZeroTick may suspend or terminate participation immediately upon learning of any ineligibility.

### 4. Application and acceptance

#### 4.1 Application

You may apply via the form at zerotick.trade/ambassadors. All information you submit must be accurate, complete, and current. ZeroTick may verify any information and request additional information.

#### 4.2 Acceptance is discretionary

**Acceptance is at ZeroTick's sole and absolute discretion.** ZeroTick is under no obligation to accept any application or to provide reasons for declining. ZeroTick may decline any application for any reason or no reason, subject only to applicable anti-discrimination law.

#### 4.3 No obligation pre-acceptance

You incur no obligation to ZeroTick by submitting an application. ZeroTick incurs no obligation to you until you have been accepted in writing and have agreed to these Terms.

#### 4.4 Confidentiality from acceptance

You agree to keep non-public details of your acceptance (tier, Recognition rates, onboarding materials) confidential per Section 8.

### 5. Tier structure and movement

#### 5.1 Tiers

The Program currently consists of four tiers: **Scout**, **Sentinel**, **Captain**, and **Architect**. Criteria, expectations, Recognition rates, and benefits per tier are described in the Briefing and Handbook and are subject to change per Section 17.

#### 5.2 Movement between tiers

ZeroTick may, in its sole discretion, promote, demote, or maintain a Participant's tier based on factors that include continuing eligibility, audience growth, contribution quality, and conduct. **No Participant has any automatic right to promotion.**

#### 5.3 Architect tier: invite only

The Architect tier is invitation-only, selected by ZeroTick at its sole discretion. No Participant has any right to be considered for the Architect tier.

#### 5.4 Tier caps

Stated active-participant caps per tier are guidance, not contractual obligations. ZeroTick may exceed or reduce any cap.

### 6. Expectations of active participation

#### 6.1 General expectations

While Recognition is conditional (Section 7), ZeroTick expects active Participants to:

(a) publish content related to ZeroTick on their primary platform with reasonable regularity, consistent with the per-tier guidance in the Briefing; (b) participate in the ZeroTick community (Discord and other channels); (c) be honest in any content published about ZeroTick, including disclosing participation in the Program where required by applicable law (FTC Endorsement Guides, ASA CAP Code, ACCC Australian Consumer Law, X / TikTok / YouTube paid-partnership disclosure rules); (d) keep Confidential Information confidential per Section 8; (e) maintain conduct standards in Section 10.

#### 6.2 Weekly Minimums are binding

The per-tier Weekly Minimums published in the Handbook are **binding contractual deliverables**. Failure to meet Weekly Minimums in any given week constitutes a Strike. ZeroTick will notify the Participant in writing of each Strike. **Three (3) Strikes within any rolling eight (8) week period** constitutes grounds for removal under Section 10.2(a). Weekly Minimums may be updated by ZeroTick with thirty (30) days' advance written notice per Section 17.

#### 6.3 Right to step back

You may temporarily reduce or pause your participation by notifying ZeroTick in advance. Approved pauses do not generate Strikes and do not accrue Recognition. Unapproved absences are subject to the Strike system in Section 6.2.

### 7. Recognition

#### 7.1 Conditional nature

**All Recognition is conditional and subject to forfeiture.** The fixed base ZTCK rate per tier (Section 7.2) is earned by meeting Weekly Minimums. The bonus pool (Section 7.3) is discretionary. ZeroTick reserves the right to withhold, reduce, or forfeit Recognition based on:

(a) your continuing eligibility; (b) the level and quality of your active participation; (c) any conduct breaching these Terms or applicable law; (d) the success and availability of the Program; (e) operational, regulatory, tax, or commercial considerations; or (f) any other factor ZeroTick considers in good faith.

#### 7.2 Monthly ZTCK: fixed base + points-based bonus

For each calendar month a Participant is active and meets Weekly Minimums, ZeroTick grants ZTCK as follows:

**(a) Fixed base.** The Participant receives the **fixed base ZTCK rate** for their tier as published in the Handbook. The fixed base is earned automatically upon meeting all Weekly Minimums for the month. If a Participant misses one or more weeks (receiving a Strike), the base is reduced proportionally for the weeks missed.

**(b) Points-based bonus.** In addition to the fixed base, Participants may earn bonus ZTCK from a **published monthly bonus pool**. Bonus allocation is determined by a transparent points system based on measurable activity (content reach, engagement metrics, referral performance, community contributions, and other criteria published in the Handbook). Points are tracked and visible to each Participant. The bonus pool size for each month is published at least thirty (30) days in advance.

The fixed base rate and bonus pool size may be adjusted by ZeroTick with thirty (30) days' advance written notice per Section 17.

#### 7.3 Three-level referral incentive

Once ZeroTick's referral infrastructure is live, ZeroTick grants the Participant a percentage of the **trading fees paid to ZeroTick** by users associated with the Participant across three layers of referrals:

* **Layer 1 (L1):** users the Participant directly referred;
* **Layer 2 (L2):** users that an L1 referee subsequently referred;
* **Layer 3 (L3):** users that an L2 referee subsequently referred.

The applicable percentages per tier and per layer are set out in the Briefing.

**Referral incentives reward real trading activity, not recruitment.** An incentive accrues only as, and to the extent that, users in your referral network actually trade and ZeroTick actually receives a trading fee from that activity. Nothing is paid for merely signing up or introducing a person, for the number of people in your network, or for recruiting other ambassadors. There is no fee to join the Program and no requirement to buy, hold, or spend anything to participate or to earn.

**Referral incentives are paid in the currency in which trading fees are received by ZeroTick (typically USDC or other stablecoin) and are independent of ZTCK or any ZTCK market value.** Referral incentives are not denominated in ZTCK and are not subject to the TGE distribution schedule in Section 7.6.

Payment frequency, calculation methodology, minimum payout thresholds, the snapshot mechanism for attributing trades to a referral chain, and the time window in which trading activity is eligible for incentive accrual are determined by ZeroTick and published in the Handbook. ZeroTick may adjust, suspend, or terminate the referral incentive in whole or in part at any time with thirty (30) days' advance written notice, including for regulatory, technical, security, or commercial reasons.

Referral incentives are subject to:

(a) the conditional terms in Section 7.1; (b) the eligibility, sanctions, and KYC/AML conditions in Section 3 and Section 11; (c) the tax provisions in Section 12; (d) the Participant remaining in good standing at the time the underlying trading fee is recognised by ZeroTick; (e) the underlying trades being lawful, non-wash, non-self-dealing, and not in breach of these Terms or applicable law.

Referral incentives accrued in respect of trades that ZeroTick subsequently determines to have been wash trades, self-deals, fraudulent, or in breach of these Terms may be reversed, withheld, or forfeited.

#### 7.4 Other recognition

Other elements of Recognition may include additional benefits as described in the Handbook. All such elements are discretionary and subject to availability.

#### 7.5 No guarantee of value

ZTCK is a utility token. **Its market value may be zero** at the Token Generation Event (**"TGE"**) and at any time thereafter. ZeroTick **makes no representation or guarantee** that ZTCK will have any specific value. **You should not participate in the Program in expectation of any specific monetary outcome.** Recognition denominated in ZTCK or referral incentives does not constitute compensation, salary, or wages.

#### 7.6 Distribution mechanics

ZTCK Recognition accrued during a Participant's active period is distributed at TGE. The distribution mechanics (including any liquid portion and unlock schedule) will be published in the ZeroTick token documentation before TGE and may be updated under Section 17. Distribution is conditional on:

(a) the Participant remaining in good standing at TGE; (b) the Participant satisfying any KYC, AML, sanctions, and tax requirements; (c) the Participant residing in a non-Restricted Jurisdiction at TGE.

#### 7.7 Forfeiture

Recognition is forfeited in full or in part on the events in Section 10. Forfeiture is automatic and does not require notice.

#### 7.8 No tax gross-up

Recognition is granted gross. ZeroTick does not gross up, withhold, or otherwise account for any taxes, social charges, or duties due on Recognition. See Section 12.

### 8. Confidentiality

#### 8.1 Confidential Information

**"Confidential Information"** means all non-public information about the Program and ZeroTick disclosed to or learned by you, including:

(a) non-public Briefing, Handbook, and onboarding materials; (b) non-public Recognition rates, tier mechanics, and distribution schedules; (c) non-public roadmap, product, technical, financial, security, or commercial information; (d) non-public information about other Participants; (e) anything else marked or reasonably understood as confidential.

#### 8.2 Obligations

You agree:

(a) to keep all Confidential Information strictly confidential; (b) to use it solely for purposes of the Program; (c) not to disclose it to any third party (including AI tools that retain inputs) without ZeroTick's prior written consent; (d) to take reasonable security measures to protect it; (e) on termination of participation, to return or destroy all Confidential Information in your possession.

#### 8.3 Permitted disclosures

You may disclose Confidential Information only:

(a) to a regulator or court of competent jurisdiction where required by law (notifying ZeroTick promptly to the extent permitted); (b) where ZeroTick has explicitly authorised public disclosure; (c) to your professional advisors under equivalent confidentiality obligations.

#### 8.4 Survival

Confidentiality obligations survive your withdrawal or removal for **three (3) years**.

### 9. Intellectual property and content

#### 9.1 Your content

You retain ownership of content you create about ZeroTick (**"Your Content"**). However:

(a) **you grant ZeroTick a worldwide, perpetual, irrevocable, non-exclusive, sublicensable, royalty-free license to reproduce, distribute, modify, translate, adapt, publicly display, publicly perform, and otherwise use Your Content for any purpose connected with ZeroTick's business**, including marketing, advertising, training, internal use, regulatory, and archival purposes; (b) you waive, to the maximum extent permitted by law, all moral rights you may have in Your Content as against ZeroTick and its licensees.

#### 9.2 ZeroTick's brand and IP

ZeroTick grants you a limited, non-exclusive, non-transferable, revocable license to use ZeroTick's trademarks, logos, and brand assets (**"ZeroTick Marks"**) solely to produce Your Content in line with the Brand Guidelines. You may not:

(a) modify the ZeroTick Marks except as permitted by the Brand Guidelines; (b) use the ZeroTick Marks in a way suggesting sponsorship, endorsement, or affiliation with any third party; (c) register or attempt to register any domain name, trademark, or social-media handle containing "ZeroTick" or a confusingly similar mark.

This license terminates automatically, without further notice, on the earliest of:

(a) your **voluntary withdrawal** from the Program; (b) ZeroTick's **removal, suspension, or termination** of your participation for any reason under Section 10 or otherwise; (c) ZeroTick's **termination of the Program** in whole or in part under Section 16.4; (d) any breach by you of these Terms that, in ZeroTick's reasonable judgment, warrants immediate revocation of the brand license.

On termination of this license, you must promptly cease all use of the ZeroTick Marks, remove all unauthorised uses from any content under your control, and (where reasonable) update content to remove ZeroTick branding within thirty (30) days. ZeroTick's broad license to Your Content under Section 9.1 is **not** affected by termination of this brand license.

#### 9.3 Mandatory disclosures

You must disclose your participation in the Program in any content where required by applicable law or platform rules. Recommended disclosure: **#Ad, ZeroTick Ambassador** or jurisdictional equivalent.

#### 9.4 Truthful content

You may not make untrue, exaggerated, misleading, or unverified claims about ZeroTick, ZTCK, or any other crypto-asset. You will not make specific price predictions or "to-the-moon" content.

#### 9.5 Content takedown

ZeroTick may, in its sole discretion, request that you remove any content it considers harmful or non-compliant. You agree to remove such content promptly.

### 10. Conduct standards and removal

#### 10.1 Prohibited conduct

You may not, in connection with your participation:

(a) engage in market manipulation, insider trading, wash trading, or other prohibited trading practice; (b) promote rug-pull, scam, or fraudulent crypto projects; (c) make defamatory, hateful, harassing, or unlawful statements; (d) breach the Confidentiality provisions (Section 8); (e) provide false or misleading information to ZeroTick; (f) breach applicable law in connection with your participation; (g) act in any way that brings ZeroTick into reputational disrepute.

#### 10.2 Grounds for removal

ZeroTick may remove you immediately and at its sole discretion for:

(a) failing to meet at least **50% of Weekly Minimums** for **two (2) consecutive months**, or receiving **three (3) Strikes within any rolling eight (8) week period** under Section 6.2; (b) conduct that causes or is reasonably likely to cause reputational damage to ZeroTick, including but not limited to: publicly disparaging ZeroTick or the Program, associating ZeroTick with scam or rug-pull projects, publishing misleading claims about ZeroTick's features or token, engaging in public disputes that reflect negatively on ZeroTick, or promoting competing platforms in a manner that undermines ZeroTick's brand; (c) any prohibited conduct in Section 10.1; (d) breach of any other provision of these Terms; (e) ineligibility under Section 3 or under sanctions / AML law; (f) any act or omission ZeroTick reasonably considers harmful to ZeroTick, the Program, or other Participants; (g) any other reason determined by ZeroTick, subject only to applicable law.

#### 10.3 Effect of removal

On removal:

(a) you cease to be a Participant immediately; (b) you forfeit, automatically and without notice, all unvested and undistributed ZTCK Recognition, all referral incentive entitlements, and any other Recognition not yet delivered; (c) ZeroTick may, in its sole discretion, reduce or eliminate any vested but undistributed Recognition (e.g., where removal is for prohibited conduct or fraud); (d) your license to ZeroTick Marks (Section 9.2) terminates immediately; (e) confidentiality obligations (Section 8) survive.

#### 10.4 Voluntary withdrawal

You may withdraw at any time on written notice. On voluntary withdrawal, ZTCK Recognition that has accrued for completed months remains eligible for distribution subject to Section 7.6 and ongoing eligibility, provided you have not engaged in prohibited conduct.

#### 10.5 Reinstatement

ZeroTick is under no obligation to reinstate any removed or withdrawn Participant.

### 11. Restricted Jurisdictions and sanctions

#### 11.1 Restricted Jurisdictions

ZeroTick will publish and may update from time to time a list of jurisdictions in which residents may not be eligible to receive ZTCK or to participate in some or all aspects of the Program (**"Restricted Jurisdictions"**). The list will be at zerotick.trade/legal/jurisdictions when published.

#### 11.2 Effect

If you are a resident of a Restricted Jurisdiction at the time of any planned ZTCK distribution, you may be ineligible. ZeroTick may hold ZTCK in escrow pending eligibility verification, redistribute, forfeit, or take any action consistent with applicable law.

#### 11.3 Sanctions

If you become a sanctioned person, ZeroTick will immediately suspend your participation and any pending distributions and may take any action necessary to comply with sanctions law.

#### 11.4 KYC / AML

ZeroTick may require KYC and AML checks before any ZTCK distribution. Failure or refusal to complete checks results in forfeiture of the relevant Recognition.

### 12. Discord Community Program exclusion

#### 12.1 Separate programs

The ZeroTick Discord Community Program (including Discord Points, seasonal engagement rewards, and community-member incentives) is a **separate and independent program** from the Ambassador Program. Participation in the Ambassador Program does not entitle you to Discord Community Program rewards, and vice versa.

#### 12.2 No double-dipping

Ambassadors may not simultaneously participate in the Discord Community Program to earn Discord Points or seasonal rewards. If an Ambassador is found to be claiming Discord Community Program rewards in addition to Ambassador Recognition, ZeroTick may, at its sole discretion, forfeit the duplicated rewards from either or both programs.

#### 12.3 Transition

If a Discord Community Program participant is accepted into the Ambassador Program, any accrued but unclaimed Discord Points remain valid. No new Discord Points accrue from the date of Ambassador acceptance onward.

### 13. Referral program independence

#### 13.1 Referral incentives are independent of ZTCK allocation

Referral incentives earned under Section 7.3 are paid in stablecoin (typically USDC) from trading fees and are **entirely independent** of the Ambassador Program's ZTCK allocation pool. Changes to the ZTCK allocation, base rates, bonus pool, or distribution schedule do not affect referral incentive rates or payouts.

#### 13.2 Separate accounting

ZeroTick accounts for referral incentives and ZTCK Recognition as separate line items. A reduction, suspension, or forfeiture of ZTCK Recognition does not automatically reduce, suspend, or forfeit referral incentives, and vice versa, unless both are independently triggered by the same grounds (e.g., prohibited conduct under Section 10.1).

#### 13.3 Referral incentive survival

If the Ambassador Program is terminated or a Participant voluntarily withdraws in good standing, referral incentives on trades by the Participant's existing referral network continue to accrue for a period of **ninety (90) days** from the date of termination or withdrawal, provided the Participant remains eligible under Section 3. After the 90-day period, referral incentive accrual ceases.

### 14. Tax responsibilities

#### 14.1 Your responsibility

**You are solely responsible for any taxes, duties, levies, social-security contributions, or charges arising from any Recognition you receive.** This includes (without limitation) income tax, capital gains tax, value-added / sales tax, and any reporting obligation in your country of residence or citizenship.

#### 14.2 No tax advice

ZeroTick does not provide tax advice. Consult a qualified tax advisor.

#### 14.3 No withholding by default

ZeroTick does not, by default, withhold or remit any tax in respect of Recognition. ZeroTick reserves the right to withhold or remit where required by applicable law.

#### 14.4 Reporting cooperation

You agree to provide any information ZeroTick reasonably requests to comply with its own tax-reporting obligations. Failure to provide such information may result in ZeroTick withholding or forfeiting Recognition.

### 15. Disclaimers

#### 15.1 Recognition risk

ZTCK Recognition is denominated in ZTCK, a utility token. **The market value of ZTCK may be zero**, at the Token Generation Event (**"TGE"**) and at any time thereafter. The likelihood, timing, and conditions of any future ZTCK liquidity, listing, or market price are uncertain and outside ZeroTick's guarantee.

Referral incentives, by contrast, are paid in the currency in which ZeroTick receives trading fees (typically USDC). The risk to a Participant on referral incentives is not market-value risk on the payout currency, but instead:

(a) the volume and longevity of trading by referred users; (b) the success and continued operation of ZeroTick's referral infrastructure; (c) ZeroTick's ability to attribute trades to the referral chain; (d) regulatory, technical, security, and operational continuity of ZeroTick's platform.

You should not participate in the Program in expectation of any specific monetary outcome from either ZTCK Recognition or referral incentives.

#### 15.2 Crypto risk

Crypto-asset markets are volatile and subject to regulatory uncertainty, fraud, hacking, and other adverse events outside ZeroTick's control. ZeroTick makes no representation or warranty regarding the future regulatory status, classification, market value, or liquidity of ZTCK.

#### 15.3 No financial, legal, or tax advice

Nothing in the Briefing, Handbook, these Terms, or any communication from ZeroTick is financial, investment, legal, or tax advice.

#### 15.4 ZeroTick services as-is

The ZeroTick platform, the Briefing, the Handbook, and all related materials are provided **"as is"** and **"as available"**, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy.

#### 15.5 Forward-looking statements

The Briefing and Handbook may contain forward-looking statements about ZeroTick's plans. Such statements are not guarantees and are subject to change without notice.

### 16. Limitation of liability

#### 16.1 Cap

**To the maximum extent permitted by applicable law, ZeroTick's total aggregate liability to you in connection with the Program shall not exceed the lesser of (a) the value of Recognition actually distributed to you in the 12 months preceding the claim, calculated at distribution-date prices, or (b) USD 100.**

#### 16.2 Excluded losses

**ZeroTick shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, business, anticipated savings, goodwill, opportunity, audience, follower count, social-media access, data, or tax liability** arising from or in connection with the Program, even if ZeroTick has been advised of the possibility of such damages.

#### 16.3 Unwaivable rights

Nothing in this Section 16 limits liability that cannot be limited or excluded under applicable law.

### 17. Amendments

#### 17.1 Advance notice

ZeroTick may amend these Terms, the Handbook, the Briefing, Weekly Minimums, Recognition rates, bonus pool sizes, or any other Program parameter by providing **thirty (30) days' advance written notice** to all active Participants. Notice will be delivered via the communication channels established for the Program (Discord, email, or both).

#### 17.2 Accrued ZTCK protected

Any ZTCK Recognition that has already accrued under the prior terms at the time of an amendment **is not affected by the amendment**. Accrued ZTCK remains eligible for distribution on the same terms under which it was earned, subject to the distribution mechanics in Section 7.6 and the forfeiture provisions in Section 10.

#### 17.3 Continued participation as acceptance

If you continue to participate in the Program after the thirty (30) day notice period, you are deemed to have accepted the amended terms. If you do not accept the amended terms, you may withdraw under Section 10.4 within the notice period, and your accrued Recognition will be handled per Section 17.2.

#### 17.4 Emergency amendments

ZeroTick may make amendments with less than thirty (30) days' notice where required by applicable law, regulatory action, or urgent security concerns. In such cases, ZeroTick will provide notice as soon as reasonably practicable and explain the reason for the shortened notice period.

### 18. Indemnification

You agree to indemnify, defend, and hold harmless ZeroTick, its affiliates, directors, officers, employees, contractors, advisors, licensors, and agents (**"Indemnitees"**) from any and all claims, damages, losses, costs, fees, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

(a) any content you publish about ZeroTick or in connection with your participation; (b) any breach by you of these Terms (including the Confidentiality, IP, Conduct, or Sanctions provisions); (c) any violation of applicable law by you; (d) any third-party claim that your content, conduct, or use of ZeroTick Marks infringes any third-party right; (e) any tax liability of yours that is incorrectly imposed on or paid by ZeroTick.

ZeroTick may, in its discretion, assume the defense of any indemnified claim, in which case you must cooperate fully at your expense. You may not settle any claim without ZeroTick's prior written consent.

### 19. Term, suspension, and termination

#### 19.1 Term

These Terms take effect when ZeroTick accepts your application and continue until terminated under this Section 19.

#### 19.2 Termination by you

Per Section 10.4.

#### 19.3 Termination by ZeroTick

ZeroTick may suspend or terminate your participation, with or without notice, for any of the reasons in Section 10.2 or otherwise at its sole discretion.

#### 19.4 Termination of the Program

ZeroTick may terminate the Program in whole or in part at any time, on thirty (30) days' notice. On program termination, all accrued ZTCK Recognition is handled per Section 17.2.

### 20. Governing law and disputes

* **Informal resolution first**: contact us at <legal@zerotick.trade> with your concern. We aim to acknowledge within 14 days and to resolve the matter in good faith within 60 days.
* **Mandatory rights preserved**: nothing in these Terms limits any non-waivable consumer-protection or other mandatory rights you have under the law of your country of residence.
* The governing law and any formal dispute-resolution venue for these Terms will be specified in a future update, announced under the Amendment procedure in Section 17.
